Terms of Service

1. Acceptance of Terms

By creating an account or using Ourtaim, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using Ourtaim on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Ourtaim is a multi-tenant SaaS platform for time tracking, project management, and profitability analytics designed for professional services firms. Features include time entry logging, project and task management, resource utilization reporting, calendar integration, and team collaboration tools.

3. Accounts and Organizations

• You are responsible for maintaining the security of your account credentials.
• Each organization on Ourtaim is a separate tenant. Organization admins manage membership, roles, and permissions within their organization.
• You must provide accurate and complete information when creating your account and keep it up to date.
• You must not share your account credentials or allow others to access your account.

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to other accounts or organizations
• Interfere with or disrupt the service or its infrastructure
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or use automated tools to extract data without permission
• Resell or redistribute access to the service without authorization
• Impersonate another person or entity

5. Data Ownership

You retain ownership of all data you enter into Ourtaim (time entries, projects, tasks, notes, and other content). We do not claim ownership of your data.

You grant us a limited license to store, process, and display your data solely for the purpose of providing the service to you and your organization.

6. Subscriptions and Billing

• Ourtaim offers multiple subscription plans (Free, Professional, Business, Enterprise). Plan details and pricing are available on our website.
• Paid subscriptions are billed in advance on a monthly or annual basis. Billing is handled through our payment provider (Paystack).
• You may upgrade, downgrade, or cancel your subscription at any time. Downgrades and cancellations take effect at the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

7. Free Trial

New organizations may receive a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using premium features. If you do not subscribe, your account will be limited to the Free plan.

8. Third-Party Integrations

Ourtaim integrates with third-party services including Google Calendar, Microsoft Outlook, Microsoft Teams, and payment providers. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability or conduct of third-party services. You may disconnect any integration at any time from your account settings.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by circumstances beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, Ourtaim shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the service.

Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Ourtaim and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the service or violation of these Terms.

12. Intellectual Property

The Ourtaim platform, including its design, code, features, and branding, is owned by Ourtaim and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as described herein.

13. Termination

• You may close your account at any time by contacting us or through your account settings.
• We may suspend or terminate your account if you violate these Terms, with notice where practicable.
• Upon termination, your right to use the service ceases. We will retain your data for 30 days to allow export, after which it will be deleted.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation before pursuing formal legal proceedings.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
